Welcome to PrivateCart. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, do not use the Service.
1. Description of Service
PrivateCart is a platform that enables creators ("Merchants") to sell digital content and create subscription plans, receiving payments in cryptocurrency (USDT/USDC). Buyers ("Customers") can purchase one-time access or subscribe to recurring plans through payment links and subscription links generated by Merchants.
PrivateCart acts solely as a technology platform. We do not hold, custody, or transmit cryptocurrency funds. All payments are made directly on-chain between Customers and Merchant wallet addresses.
2. Acceptance of Terms
By creating an account, clicking "Sign up," or otherwise accessing the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.
3. Account Registration
You must create an account to use Merchant features. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@privatecart.online if you suspect unauthorized use.
PrivateCart reserves the right to suspend or terminate accounts that violate these Terms or that we believe are being used fraudulently.
4. Payments, Fees & Payouts
PrivateCart charges a platform fee on each successful transaction. The applicable fee rate is displayed in your account settings and may be updated with 30 days' notice. All fees are deducted automatically from each payment before forwarding the remainder to your configured wallet address(es).
Payments are settled in the cryptocurrency selected by the Customer (USDT or USDC) on the blockchain network they choose. PrivateCart is not responsible for network congestion, gas fees, or transaction failures caused by blockchain conditions beyond our control.
For subscription plans, recurring billing occurs automatically on each billing cycle. Merchants are responsible for ensuring their wallet addresses remain valid and active. PrivateCart is not liable for funds sent to an incorrect or inaccessible wallet address provided by the Merchant.
5. Merchant Responsibilities
As a Merchant, you agree to:
- Only sell digital content and subscriptions that you own or have the legal right to distribute.
- Accurately describe your products and subscription plans, including what is included and any recurring billing terms.
- Honour refund requests where required by applicable consumer protection laws.
- Provide timely access to purchased content upon payment confirmation.
- Maintain a valid payout wallet address and promptly update it if it changes.
- Comply with all applicable taxes, including collecting and remitting sales tax or VAT where required by your jurisdiction.
6. Prohibited Conduct
You may not use PrivateCart to sell or distribute content that:
- Is illegal, obscene, or violates the rights of any third party.
- Constitutes fraud, phishing, or misrepresentation.
- Contains malware, viruses, or harmful code.
- Infringes any intellectual property rights.
- Violates any applicable laws, including financial regulations or sanctions.
- Is related to gambling, weapons, or other restricted categories.
You may not attempt to reverse-engineer, scrape, or disrupt the PrivateCart platform or its infrastructure.
7. Content & Intellectual Property
You retain all ownership rights to the content you upload and sell through PrivateCart. By uploading content, you grant PrivateCart a limited, non-exclusive licence to store and deliver that content to authorised buyers on your behalf.
The PrivateCart name, logo, platform, and all associated intellectual property are owned by PrivateCart and may not be copied, modified, or used without written permission.
8. Subscriptions & Cancellation
Subscription plans are billed on a recurring basis (weekly, monthly, quarterly, or yearly) as configured by the Merchant. Customers may cancel their subscription at any time; access continues until the end of the current billing period. Merchants may pause or archive plans, which stops new sign-ups and halts future billing for existing subscribers at the end of their current period.
Free trial periods, where offered, do not require payment. Once a trial expires, the regular subscription price is charged automatically unless cancelled beforehand.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. PrivateCart does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy or completeness of any content available through the platform.
Cryptocurrency transactions are irreversible. PrivateCart cannot recover funds sent to incorrect wallet addresses or lost due to user error.
10. Limitation of Liability
To the maximum extent permitted by law, PrivateCart and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to PrivateCart in the three months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless PrivateCart and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your account at any time for any reason, including breach of these Terms, with or without notice. Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by PrivateCart.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the effective date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
